Preparing fee terms for independent review
This post is also available in Persian ←

Prepare fee terms with reproducible formulas, periods, currencies and examples. Clarify fixed and performance charges, cash-flow adjustments and termination; payment does not guarantee quality.
Quoting a management-fee percentage is insufficient. Independent review should establish the base, timing and adjustments used in applying it. Good terms clarify definite charges while keeping estimated or host-dependent components visible.
Define each charge separately
Fixed management charges, performance fees and host execution costs may be separate amounts. Record the value, rate, unit, period and recipient of each. All-inclusive wording needs a defined scope and exceptions. Costs outside the manager’s control still belong in disclosed limitations if they affect net results.
Make the performance basis calculable
Explain how open or closed profits, cash flows and other costs enter the calculation. If a high-water mark or another condition applies, define it and any reset timing. Terminology is not a substitute for a formula, and one investor’s terms must not be generalised to every account without review.
A hypothetical example with explicit assumptions
Suppose eligible profit for a period is 100 units and a hypothetical rate is twenty percent. The charge is 20 units only if the eligible-profit definition, adjustments and contractual conditions support that basis. This is not an actual service rate and must not become a final account charge without the necessary data. Identify the report behind each input so another reviewer can reconstruct the result without confidential access.
What should an independent review pack contain?
- The terms version, effective date and covered accounts.
- A formula for each component with clear units and currency.
- Profit, loss and intra-period entry or exit examples.
- Calculation, recognition, collection and correction timing.
- Question, dispute and termination routes.
Do not omit deposits and withdrawals from examples
If cash flows change the calculation basis, identify when each event becomes effective. A deposit-driven balance increase must not become fee-eligible profit without a valid definition. Allocation reductions and final exits may need separate calculations too. Do not leave them to a vague statement that the system handles everything.
Corrections differ from changes in terms
A calculation correction should reconcile with the earlier report and its explanation. Changing rates or collection authority requires the agreement’s valid process. A notification alone does not establish acceptance, and a new figure should not silently replace earlier history.
Fee transparency is not an outcome guarantee
A higher charge does not automatically produce better management or returns, and payments must not buy trust scores. Managers can describe terms without private account information in a cooperation inquiry. When reviewing accounts, read net results alongside service scope. This framework is neither a ready-made contract nor a legal opinion on rates, and it claims no implementation of every fee formula in the product.
